Aviso Legal

Last updated: October 18, 2026

1. Purpose and acceptance

This legal notice governs access, navigation, and use of the website, the Clonio platform, and the Clonio browser extension for Google Chrome (collectively, "the Services"), which are a set of software-as-a-service (SaaS) tools that allow registered users to: (a) automatically generate text and visual content for the LinkedIn professional network using third-party artificial intelligence technologies, and to schedule, manage, and publish such content on the user's LinkedIn account; and (b) collect and display performance statistics for the user's own LinkedIn posts via the browser extension, after the user grants the corresponding authorizations and permissions in accordance with the OAuth 2.0 authentication protocols provided by LinkedIn Corporation. Merely accessing the Platform, as well as using it in any form, confers user status and implies full acceptance, without reservation and without any need for additional express acknowledgment, of every provision included in this legal notice in the version published at the time the user accesses the Platform, as well as the particular conditions applicable to specific services, including the Rules for AI image generation, which form an integral part of this legal notice for all purposes.

2. Propiedad intelectual e industrial

All Platform content, including but not limited to texts, source code, navigation structure, graphic designs, user interfaces, logos, trademarks, trade names, images, icons, databases, algorithms, and any other elements protectable under intellectual and industrial property law, are the exclusive property of the owner or, where applicable, their legitimate licensors, and are protected by the intellectual and industrial property laws of the United States of America and the European Union, as well as by applicable international treaties, in particular the Berne Convention and the WIPO Copyright Treaty. Reproduction, distribution, public communication, transformation, making available to the public, extraction, reuse, forwarding, or use of any kind, by any means or procedure, of any Platform content is strictly prohibited without the prior express written authorization of the owner, except where the law expressly permits otherwise.

3. Subscriptions and payments

Access to the Platform requires subscribing to one of its plans: Creator, billed monthly, or Professional, billed annually. There is no free plan or trial period. Access to the full features of the Platform requires contracting a paid subscription plan, managed entirely through the Stripe, Inc. payments platform. Contracting a paid plan involves immediate charging of the amount corresponding to the first period and, thereafter, automatic renewal at the start of each billing period (monthly on the Creator plan and annual on the Professional plan). The user may cancel automatic renewal at any time through Stripe's billing portal, with cancellation effective at the end of the period already paid, with no right to proportional refund for the unused period, without prejudice to the provisions below regarding the right of withdrawal and refunds.

Each plan includes unlimited post generation and a number of AI-generated images every 30 days: 100 on the Creator plan and 200 on the Professional plan. Editing an image uses one of them. The image quota renews every 30 days from the subscription date, also on the annual plan, and does not roll over: images not used in a period do not carry over to the next. The Platform may apply reasonable technical usage limits to protect the service, in accordance with section 7. Current plan prices are shown on the Platform before subscribing. Plan prices may be updated by the owner; new prices will apply from the next billing period, except on the Professional plan, whose price is kept for as long as the subscription remains active without interruption.

Right of withdrawal. In accordance with Directive 2011/83/EU on consumer rights and with the consumer legislation applicable in the user's country of habitual residence, users residing in the European Union who act as consumers have fourteen (14) calendar days from the date of subscribing to a paid plan to withdraw from it without giving any reason.

Exception for immediate provision. By contracting a subscription, the user expressly consents to the service starting immediately and acknowledges that, pursuant to Article 16(m) of Directive 2011/83/EU and the consumer legislation transposing it in the consumer's country of residence, the right of withdrawal does not apply to digital content actually consumed before the right is exercised, including, by way of example, the generation of posts or images via AI, automated profile or style analyses, and posts made on LinkedIn or other platforms through the Service.

Applicable refund policy:

  • Creator plan (monthly). A full refund of the first payment only applies if the user requests it within fourteen (14) calendar days of contracting y and has not used any usage-metered functionality during that period. Usage-metered functionalities include, by way of example: AI post generation or any other means of post generation, AI image generation, automated profile or style analysis, and publishing content on LinkedIn or other social networks.
  • Professional plan (annual): 15-day guarantee. If the user requests it by email to contact@clonio.es within fifteen (15) calendar days of their first Professional subscription, the amount paid will be refunded in full, even if the service has been used, and the subscription will be cancelled immediately. The guarantee applies to the first subscription to the plan, not to its renewals.
  • Outside the cases above, no refund will apply for the current billing period. The user can cancel automatic renewal at any time from Stripe's billing portal; cancellation will be effective at the end of the period already paid, with no proration or partial refund.

Procedure. Withdrawal or refund requests must be sent by email to contact@clonio.es, stating the account identifier and the reason for the request. They will be processed within fourteen (14) calendar days of receipt.

4. Contenido generado mediante inteligencia artificial

The Platform allows the user to generate text and visual content using third-party AI models. The main provider of the image generation model used by the Platform is OpenAI, OpCo, LLC (GPT-Image and GPT family models), acting as a data processor under the terms detailed in the Privacy Policy. The user acknowledges and accepts that: (a) AI-generated content is automated and may contain inaccuracies, errors, or unwanted results, with the user solely responsible for reviewing, editing, and approving any content before publishing it; (b) the user is solely and exclusively responsible for the content they choose to publish on LinkedIn or any other platform, including verifying that such content does not infringe third-party intellectual or industrial property rights, fundamental rights to honor, privacy, or the image of others under Spanish Organic Law 1/1982 of May 5, applicable regulations, or the terms of use of the destination platform; (c) AI-generated images that incorporate the user's profile photo (avatar) are generated from the image voluntarily provided by the user, which constitutes biometric data under Article 9 of the GDPR, processed based on the explicit consent given by the user under Article 9(2)(a) of the GDPR, in the terms detailed in the Privacy Policy; the user may delete that image at any time from their account settings; (d) the Platform owner does not claim intellectual property rights over content generated by the user via the AI tools, with any rights legally derived from such content belonging to the user, to the extent applicable law allows; and (e) the user undertakes to fully respect the Normas de generación de imágenes con inteligencia artificial, which form an integral part of this legal notice.

5. Transparency of AI-generated content (Regulation (EU) 2024/1689, "AI Act")

Under Article 50 of Regulation (EU) 2024/1689 of the European Parliament and of the Council establishing harmonized rules on artificial intelligence, whose transparency obligations become fully enforceable from August 2, 2026, the Platform owner assumes, and the user acknowledges, the following obligations: (i) as a deployer of generative image AI systems, the Platform adopts reasonable technical measures to mark the outputs of those systems in a machine-readable format detectable as artificially generated or manipulated, under Article 50(2), in line with the specifications of the Code of Practice on transparency of AI-generated content; and (ii) the user, when publishing images generated with the Platform, assumes the obligation under Article 50(4) of the Regulation to disclose that such content has been artificially generated or manipulated when the image constitutes a deepfake, depicts real people, or informs the public on matters of public interest. Failure by the user to comply with these obligations is the user's sole responsibility.

6. Account deletion

The user may request the deletion of their account at any time from the Platform's settings section. Once deletion is requested, a grace period begins during which the account is deactivated but the user's data is preserved, allowing the user to recover their account and all their data by accessing the address provided for that purpose. After this grace period without the user requesting recovery, all the user's personal data, including posts, images, settings, metrics history, and any other data associated with the account, will be deleted definitively and irreversibly through an automated purge process, without prejudice to data that must be retained by legal mandate (in particular, billing and tax records, for the periods required by the tax and commercial legislation applicable to the owner in the United States of America and, for sales to European Union consumers under the VAT One-Stop-Shop scheme, for ten (10) years). Deleting the account does not automatically cancel the active Stripe subscription; the user must cancel the subscription separately before requesting deletion, or do so through the billing portal.

7. Service limitations

The owner reserves the right to establish technical limits on Platform use to ensure stability, security, and quality of service for all users, including, without limitation, limits on the number of image generation credits available per period, limits on the synchronization frequency of the browser extension, and any other technical limits reasonably necessary. These limits may be modified at any time without prior individual notice to the user.

8. User obligations

The user undertakes to use the Platform, as well as the content and services accessible through it, in accordance with current law, this legal notice, morality, generally accepted good manners, and public order, and also undertakes not to use the Platform for unlawful purposes or effects, in ways contrary to the content of this legal notice, harmful to the interests or rights of third parties, or that in any way may damage, disable, overload, or impair the Platform, its servers, or other users' computer equipment, or prevent the normal use or enjoyment of the Platform by any user. In particular, and without limiting the obligation in the preceding paragraph, the user agrees not to use the Platform to generate content that is defamatory, insulting, obscene, threatening, discriminatory, that violates third-party intellectual or industrial property rights, rights to honor, privacy, or image protected by Spanish Organic Law 1/1982, or that in any other way is contrary to applicable law or the fundamental rights of individuals. The user also undertakes not to bypass the technical limits of the AI model described in the Image Generation Rules.

The user is responsible for the actions their AI assistant performs through the Platform's MCP connector with the permissions they have granted it, including LinkedIn posts confirmed through it. The user may review and revoke those permissions at any time from Settings → Connections.

The Platform is intended exclusively for professionals and businesses and may only be used by persons over eighteen (18) years of age. By registering, the user declares that they meet this requirement. If the owner becomes aware that a minor has created an account, it will cancel the account and delete the associated data.

9. Owner's identifying information

In compliance with the information duty set out in Article 10 of Spanish Law 34/2002 of July 11 on Information Society Services and Electronic Commerce (LSSI-CE), applicable under its Article 4 to providers established outside the European Union that direct their services to Spain, and with Directive 2000/31/EC, users are informed that the owner of this website, of the technology platform accessible through it and of the associated Google Chrome browser extension, commercially known as Clonio, is ZIPGENIAL LLC, a limited liability company organized and validly existing under the laws of the State of Florida (United States of America), registered with the Florida Division of Corporations under document number L25000295366, holder of Employer Identification Number (EIN) 38-4286172, with registered office and address for notices at 655 S Le Jeune Rd, Ste 905, Coral Gables, FL 33134 (United States of America), and contact email contact@clonio.es, the latter being the preferred channel for any communication regarding this legal notice, the platform or the services provided through it.

10. Limitation of liability

The Platform owner is not liable, in any case and to the maximum extent permitted by applicable law, for damages of any kind that may arise from access to or use of the Platform, including, without limitation, those caused by interference, omissions, interruptions, computer viruses, breakdowns, or disconnections in the operation of the electronic system, those caused by improper or negligent use of the Platform by the user, those caused by third parties' unauthorized access outside the owner's control, or those arising from publishing, on third-party platforms such as LinkedIn, text or visual content generated through the AI services integrated into the Platform. The user is the sole and exclusive party responsible for the content they choose to publish, share, or distribute through their own social media accounts or any other means, and for the legal, economic, reputational, or other consequences that may arise, including the transparency and labeling obligations under Article 50 of Regulation (EU) 2024/1689.

11. Applicable law and jurisdiction

This legal notice and the Platform's terms of use are governed by the laws of the State of Florida (United States of America), excluding its conflict-of-law rules. Any dispute arising from access to or use of the Platform shall be submitted to the state and federal courts located in Miami-Dade County, Florida. Notwithstanding the foregoing, if the user resides in the European Union and acts as a consumer, this choice of law and forum shall not deprive them of the protection afforded by mandatory provisions of the law of their country of habitual residence (Article 6 of Regulation (EC) 593/2008, Rome I), and they may bring any claim before the courts of that country (Article 18 of Regulation (EU) 1215/2012).

12. SDR Agent and data processing

The SDR Agent, available on the Professional plan, helps the user detect the people who interact with their content on LinkedIn, assess whether they fit their ideal customer and keep track of their sales relationships. By turning it on in Clonio, the user expressly accepts this clause and the Data Processing Agreement (SDR Agent), which forms part of this Legal Notice; the extension does not ask for any separate confirmation. The user can turn it off at any time, in Clonio or from the extension, and capture stops when it is turned off.

What it reads. From the user's LinkedIn session and in read-only mode, the extension reads who interacts with them: reactions and comments on their posts (and what they say), reposts, invitations and new connections, new followers and the profile views LinkedIn shows them. For each person it stores the name, headline, link to the profile photo, LinkedIn profile address and identifiers and the connection degree. For some people it also looks up their profile, using the user's session, to get their current title, company and location. It also reads the user's LinkedIn conversations only with the people on their sales board (who wrote and when, and the text of recent messages, which is processed on the spot to know whether they replied and what, and is never stored) and the text of the notes in the invitations they receive. It does not read the rest of their messages, does not mark anything as read and does not collect email addresses or phone numbers.

What for and where it goes. This data is sent to Clonio's servers, where it is stored in the user's account, and to its artificial intelligence providers in the United States, which do not use it to train models, to assess each person's fit with the ideal customer, classify their comments, invitation notes and replies, detect agreed meetings and draft message and reply suggestions. It is not shared with other users or sold. People who do not fit and are not in the pipeline, and people the user has done nothing with, are deleted 90 days after their last interaction; all others, after 12 months without activity; comment and invitation note text, after 90 days; message text is not stored; and everything, 30 days after the SDR Agent is turned off or the plan that includes it is lost, or immediately if the user asks. Details are in section 11 of the Privacy Policy.

What Clonio does and what the user is responsible for. Clonio never sends anything: it does not write messages, invitations or comments on LinkedIn on the user's behalf, and its message suggestions only go out if the user copies and sends them. For those people's data, the user is the data controller: they decide whom to write to and what to send, and they are responsible for having a valid legal basis (usually their legitimate interest, Article 6(1)(f) GDPR), for informing the people they contact under Article 14 GDPR, for respecting their objection (they can delete any person and tick "Don't track this person again") and for complying with the rules on commercial communications by electronic means, in particular Article 21 of Spanish Law 34/2002 (LSSI) or the equivalent applicable rule. ZIPGENIAL LLC (Clonio) processes that data as data processor, on the user's behalf and following their instructions, under Article 28 GDPR and the Data Processing Agreement (SDR Agent), which prevails over this Legal Notice on data protection matters.
